Terms of Service

Your rights and responsibilities when using SynthBoard.

Agreement to Terms

Welcome to SynthBoard. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our service.

Business Information:

1. Definitions

  • "Service": The SynthBoard platform, including all features, APIs, and integrations
  • "User," "You," "Your": Any person or entity using the Service
  • "Content": Any data, text, prompts, or materials submitted to the Service
  • "AI Providers": Third-party AI services (Anthropic Claude, OpenAI, Google Gemini, Perplexity)
  • "Credits": Virtual currency used to access AI features
  • "Session": A collaborative AI interaction or boardroom conversation

2. Service Description

2.1 What We Provide

SynthBoard is an AI collaboration platform that enables:

  • Multi-agent AI conversations with configurable personas
  • Real-time collaboration and session sharing
  • Integration with leading AI providers (Claude, GPT, Gemini, Perplexity)
  • Cost estimation, analytics, and usage tracking
  • Credit-based payment system for AI usage

2.2 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any feature at any time
  • Update pricing and credit costs at any time
  • Introduce new features or limitations
  • Change AI provider integrations

3. Account Registration

3.1 Eligibility

To use SynthBoard, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Not be prohibited from using the Service under applicable law

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of unauthorized access
  • Using strong passwords and enabling security features

We are not liable for losses resulting from unauthorized use of your account.

3.3 Account Suspension

We may suspend or terminate accounts that:

  • Violate these Terms
  • Engage in fraudulent or abusive behavior
  • Pose security or legal risks
  • Remain inactive for extended periods (with notice)

4. Acceptable Use Policy

4.1 Permitted Uses

You may use SynthBoard for:

  • Legitimate business analysis and strategy
  • Creative projects and content generation
  • Research and educational purposes
  • Team collaboration and productivity
  • Any lawful purpose consistent with our service design

4.2 Prohibited Uses

You may NOT use SynthBoard to:

Illegal Activities:

  • Violate any laws, regulations, or third-party rights
  • Engage in fraud, scams, or deceptive practices
  • Distribute malware, viruses, or harmful code
  • Facilitate terrorism, violence, or illegal goods/services

Harmful Content:

  • Generate or distribute child sexual abuse material (CSAM)
  • Create content promoting violence, hate, or discrimination
  • Harass, threaten, or harm others
  • Violate intellectual property rights

Platform Abuse:

  • Attempt to reverse-engineer, decompile, or hack the Service
  • Circumvent security measures or access controls
  • Use automated tools to scrape or abuse the Service
  • Resell or redistribute our Service without authorization
  • Generate excessive API calls to disrupt service

AI-Specific Violations:

  • Use AI outputs to train competing models without permission
  • Generate misleading deepfakes or impersonations
  • Create spam, phishing, or malicious content
  • Violate AI provider terms of service

4.3 Enforcement

We reserve the right to:

  • Remove violating content without notice
  • Suspend or terminate accounts immediately
  • Report illegal activity to authorities
  • Pursue legal action for damages

5. Payment Terms

5.1 Credit System

  • Credits are required to use AI features
  • Every priced action shows its price before you confirm it, as one ceiling ("up to N credits"). You are never charged more than the ceiling you confirmed; you are charged what the work actually cost, up to it.
  • Talking with your Chief of Staff is free within a daily allowance that depends on your plan. Work that uses tools or produces something (reading or refreshing a connected system, drafting, editing, writing) is a priced action.
  • A recurring read you set up (for example a weekly refresh of a connected system) is confirmed once, at a standing price shown before you confirm.
  • Credits are purchased in bundles (pricing available at synthboard.ai/pricing)
  • Credits are non-refundable. All sales are final.
  • Credits do not expire while your account is active
  • Unused credits are forfeited upon account closure

5.2 Pricing

  • Prices are displayed in USD (or local currency)
  • Prices include applicable taxes (VAT/GST)
  • We reserve the right to change pricing at any time
  • Promotional pricing may have different terms

5.3 Payment Processing

  • Payments are processed securely via Paddle
  • You authorize us to charge your selected payment method
  • Failed payments may result in service suspension
  • Subscription renewals (if applicable) are automatic unless canceled

5.4 Refund Policy

All purchases — including credit bundles and subscription plans — are final. We do not offer refunds.

Payments are processed by Paddle as Merchant of Record. Any consumer rights or chargebacks applicable under local law are handled by Paddle in accordance with their policies.

5.5 Taxes

You are responsible for:

  • All applicable taxes (sales, VAT, GST, etc.)
  • Providing valid tax identification if required
  • Withholding taxes in your jurisdiction

6. Intellectual Property

6.1 Our IP Rights

SynthBoard retains all rights to:

  • The platform, software, and codebase
  • Our trademarks, logos, and branding ("SynthBoard," visual assets)
  • Documentation, tutorials, and marketing materials
  • Proprietary algorithms and features

You may not: Copy, modify, distribute, or create derivative works without written permission.

6.2 Your Content Rights

You retain ownership of:

  • Prompts, inputs, and data you submit
  • AI-generated outputs from your sessions
  • Custom agent configurations

License to Us: By using the Service, you grant us a limited, non-exclusive license to:

  • Process your content to provide the Service
  • Store and transmit data to AI providers
  • Use anonymized data for analytics and improvements

We do NOT claim ownership of your AI outputs.

6.3 AI-Generated Content

  • AI outputs may not be unique or copyrightable
  • Similar prompts may produce similar outputs for different users
  • AI outputs may be subject to AI provider terms
  • You are responsible for verifying originality and rights

6.4 DMCA Compliance

If you believe content on SynthBoard infringes your copyright:

  • Contact: dmca@synthboard.ai
  • Include: Your contact info, copyrighted work, infringing content URL, good faith statement
  • We will respond per DMCA requirements

7. Third-Party Services

7.1 AI Providers

Our Service integrates with:

You agree to comply with their terms when using our Service.

7.2 No Endorsement

We do not endorse, warrant, or assume responsibility for third-party services or content.

7.3 Agent Actions on Connected Tools

The Service lets you connect third-party tools (via our integration platform, Composio Inc.) and lets AI agents propose actions on those tools — for example drafting an email, creating a task, or updating a record. For these actions:

  • You approve actions. Agent actions on connected tools execute only with your approval, under the approval settings you configure. An approval you grant is treated as your instruction.
  • Undo window. Where the connected tool supports it, we provide a 30-second undo after an action executes. Undo is best-effort and not available for every tool or action type; an action that has already produced external effects (e.g. a sent email) may not be reversible.
  • You are responsible for granted scopes. You choose which tools to connect and which permission scopes to grant. You are responsible for the scopes you authorize, for reviewing proposed actions before approving them, and for the consequences of approved actions on your third-party accounts.
  • Third-party terms apply. Actions on a connected tool are subject to that tool's own terms of service. You agree to comply with them.

You can disconnect any tool and revoke its scopes at any time in Settings → Integrations.

7.4 Reading Your Connected Systems

You can connect systems such as Supabase, GitHub, Vercel, Stripe, Paddle or PostHog so your experts work from your real figures. For these connections:

  • Read-only. SynthBoard only reads; it never changes anything in these systems.
  • Your authority. You confirm you are entitled to grant SynthBoard read access to each system you connect.
  • Figures can be wrong or stale. Each figure shows its source and the time it was read. Mappings from your data to a figure are made by software and can be mistaken; check a figure before relying on it for a material decision.
  • Ending access. You can disconnect at any time in Settings → Integrations; we then delete the access token and stop reading.

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability or fitness for a particular purpose
  • Accuracy, reliability, or completeness of AI outputs
  • Uninterrupted or error-free operation
  • Security or freedom from viruses

8.2 AI Limitations

AI-generated content may:

  • Contain errors, inaccuracies, or "hallucinations"
  • Be biased or inappropriate
  • Violate third-party rights
  • Not be suitable for critical decisions
  • Rely on figures or documents from your connected systems that are incomplete, out of date, or mapped incorrectly

You are responsible for verifying and using AI outputs appropriately.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are NOT liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid in the past 12 months
  • We are not liable for third-party actions (AI providers, payment processors)
  • We are not liable for losses from service downtime or data loss

Some jurisdictions do not allow liability limitations, so these may not apply to you.

8.4 Indemnification

You agree to indemnify and hold us harmless from claims arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of third-party rights
  • Your content or AI outputs

9. Privacy and Data Protection

Your use of SynthBoard is subject to our Privacy Policy.

Key Points:

  • We collect account and usage data
  • AI conversations are sent to third-party providers
  • We do not sell your data
  • You have rights under applicable privacy laws
  • Data is encrypted and secured

10. Termination

10.1 By You

You may terminate your account at any time:

10.2 By Us

We may terminate or suspend your account:

  • For violation of these Terms
  • For fraudulent or abusive behavior
  • If required by law
  • At our discretion, for any reason

10.3 Effect of Termination

Upon termination:

  • Your access to the Service is revoked
  • Your data may be deleted (subject to legal retention requirements)
  • Sections 6 (Intellectual Property), 8 (Disclaimers and Limitations of Liability), and 11 (Dispute Resolution) survive termination

11. Dispute Resolution

11.1 Arbitration (Optional)

For disputes under $10,000 USD, we may agree to binding arbitration to expedite resolution.

11.2 Class Action Waiver

You agree to resolve disputes individually, not as part of a class action or representative proceeding.

12. Miscellaneous

12.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and SynthBoard.

12.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

12.3 No Waiver

Our failure to enforce a right does not waive that right.

12.4 Assignment

You may not transfer your account or obligations. We may assign our rights to a successor or affiliate.

12.5 Force Majeure

We are not liable for delays or failures due to events beyond our control (natural disasters, war, pandemics, etc.).

12.6 Language

These Terms are provided in English. Translations (if any) are for convenience only.

13. Updates to Terms

We may update these Terms at any time:

  • Changes will be posted with a new "Last Updated" date
  • Material changes will be notified via email
  • Continued use after changes constitutes acceptance
